These terms govern use of Cohesio (“Cohesio,” “we,” “us”), including this marketing site and the application at https://app.cohesio.ai. By creating an account, starting a trial, or subscribing, you agree to these terms on behalf of the firm or organization you represent, and you confirm you have authority to bind that organization.

1. Accounts
An account is created by a firm, not an individual; the person who creates it becomes its first owner and can invite additional staff, assign roles, and manage billing. You’re responsible for keeping account credentials confidential and for all activity under your account, including activity by staff you’ve invited. Notify us promptly at hello@cohesio.ai if you suspect unauthorized access.
2. The trial
New accounts get a free 7-day trial of the Team plan. Full Team plan features for 7 days. No credit card. Keep your data if you subscribe; export everything if you don’t. Starting a trial does not require a credit card and does not automatically convert to a paid subscription; if the trial ends without a plan selected, the account moves to a read-only state rather than being deleted, and you retain the export window described in Section 9.
3. Fees, billing and refunds
Paid plans are billed monthly or annually in advance, at the prices and limits shown on the pricing page at the time of purchase. Annual billing is discounted relative to monthly billing on every plan. Upgrades take effect immediately with prorated billing for the remainder of the current period; downgrades take effect at your next renewal, with a warning shown in advance if your current usage exceeds the new plan’s limits. Fees are non-refundable except where required by law or expressly stated otherwise; if we materially fail to deliver the service as described in these terms, we will issue a prorated refund for the affected period at our discretion.
4. Cancellation
You can cancel at any time from account settings. Cancellation stops future billing and takes effect at the end of the current billing period; you keep full access through that date. We do not charge a cancellation fee.
5. Acceptable use
You may use Cohesio only for lawful client-service work consistent with these terms and our documented data-handling scope. You’re responsible for the accuracy of information your firm enters and for obtaining any consent needed from your clients to collect their documents through Cohesio. You agree not to: disrupt or attempt to circumvent the service’s security or plan limits; use the product to collect the sensitive data categories excluded from scope (bank credentials, payment card security codes, medical records, government identity/KYC data, or payroll administration data); reverse-engineer the product; or resell access to Cohesio without our written consent.
6. Client recipient terms
Your clients (“client recipients”) interact with Cohesio through a checklist link you send them; they do not need a Cohesio account and are not a party to these terms, but by submitting documents or answers they agree that the information may be processed as described in our privacy policy. You are responsible for your own legal relationship with your clients, including any engagement letter or consent required before collecting their documents through a third-party tool. Cohesio is not a party to, and has no visibility into, the underlying engagement between your firm and your client beyond what is entered into the product.
7. AI output disclaimer
Cohesio’s AI extraction proposes candidate facts and flags likely exceptions from submitted documents and answers, each attributed to a source document, page and version. AI output is a proposal, not a decision: it cannot accept a submission, waive a requirement, change a recipient, send a message, or complete an engagement — only an authorized staff member of your firm can take those actions. You are solely responsible for reviewing AI-proposed facts before relying on them, and for the accuracy of the bookkeeping, tax, payroll or advisory work your firm ultimately delivers to your own clients based on data handled through Cohesio. Cohesio makes no warranty that AI extraction is error-free or complete, and a missing or unreadable source is returned as unknown rather than a guessed value.
8. Intellectual property
Cohesio and its licensors own all right, title and interest in the product, including its software, design and documentation. These terms grant your firm a limited, non-exclusive, non-transferable right to use Cohesio for your internal business purposes during an active subscription. Your firm retains all right, title and interest in the client, engagement and document data you and your clients put into Cohesio (“customer data”); nothing in these terms transfers ownership of customer data to us.
9. Data ownership and export
Your firm owns its customer data. If you cancel, you have a 30-day window to export everything — files, submissions, decision manifests and activity logs — before it is deleted from our systems in the ordinary course of account cleanup.
10. Confidentiality
Each party may receive confidential information from the other in the course of using or providing the service. Each party agrees to protect the other’s confidential information with at least the same degree of care it uses for its own similar information, and not to disclose it except to employees, contractors or subprocessors who need it to perform the service and are bound by confidentiality obligations at least as protective as these.
11. Service availability
We work to keep Cohesio available and reliable, and publish real-time status at status.cohesio.ai. Planned maintenance is communicated in advance where possible. We do not guarantee uninterrupted availability, and the service is provided on an “as is” and “as available” basis except as expressly stated in these terms or in a separately signed agreement.
12. Warranties
Except as expressly stated in these terms, Cohesio is provided without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Cohesio is not a substitute for professional accounting, tax, legal or payroll judgment, and nothing in the product constitutes such advice.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or lost data, arising out of or related to these terms or the service, even if advised of the possibility of such damages. Each party’s total liability arising out of or related to these terms will not exceed the amount paid by your firm to Cohesio in the twelve months preceding the event giving rise to the claim.
14. Termination
Either party may terminate for the other’s uncured material breach of these terms with 30 days’ written notice describing the breach, if it remains uncured at the end of that period. We may also suspend or terminate an account immediately if it poses a security risk to the service or other customers, or if used in a way that violates Section 5. On termination for any reason, the export window described in Section 9 applies.
15. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these terms will be resolved exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction there.
16. Changes to these terms
We may update these terms as the product evolves. Material changes will be reflected here with an updated effective date, and significant changes will be communicated to account owners in advance of taking effect. Continued use of Cohesio after a change takes effect constitutes acceptance of the updated terms.
